Terms and conditions

Our Terms and Conditions have been developed in line with best practice, feedback from our clients, and business considerations for SMEs like JustOne. If you would like to discuss any of these points, please get in touch.

1. All fees are subject to VAT taxes at the prevailing rate to UK businesses only.

2.All fees shall be paid in £GBP stated in each invoice (which reflects the £GBP cost in the signed proposal), exclusive of any bank fees.

3.All fees are valid for one month from the date of this proposal. We reserve the right, if the contract is not signed after this date, to revisit the fees of the project.

4.60% of fees will be invoiced upon approval of this contract. The payment schedule for the remaining 40% can be agreed with your JustOne account manager.

5.We reserve the right to adjust pricing following mutual agreement should circumstances be significantly different from those assumed or be changed beyond our control.

6.If this agreement is terminated by the client before final delivery, JustOne reserves the right to bill for fees as they relate to any time and work undertaken to that point, along with a termination fee of 50% of remaining fees.

7.At the start of any project, both parties will agree to a payment plan and if the client pauses the project, the client agrees to continue with agreed payment plan. If the project is paused over 1 month, JustOne reserves the right to revisit fees with the client.

8.Upon receiving JustOne’s service invoice(s), the client agrees to the 30 day payment request with late payments subject to statutory interest.

9.JustOne reserves the right to bill fees for changes to project scope or timelines by the client, including but not limited to: missed or delayed meetings, extra meetings, late delivery of information/data, or requesting work out of scope.

10.We reserve the right to discuss and negotiate new delivery dates with the client if feedback deadlines are not met by the client or timescales are pushed back by the client.

11.JustOne reserves the right to terminate this Agreement with immediate effect, without liability, in the event of:

(a) non-payment or repeated late payment by the Client;
(b) a material breach of this Agreement by the Client;
(c) the Client engaging in unlawful, unethical, discriminatory, or unsafe practices;
(d) any request by the Client to undertake work that is illegal, unethical, or conflicts with applicable laws or regulations;
(e) a conflict of interest that compromises the JustOne’s professional obligations;
(f) mutual agreement between both parties.

12.Most work can be delivered remotely, but where necessary, travel, accommodation and expenses required to facilitate workshops/meetings will be charged in addition to above fees. JustOne will use all reasonable endeavours to minimise costs and will seek agreement ahead of incurring any material costs.

13.For our communication, reporting, and creative services, we deliver our work in finalised formats (i.e. pdf, print, mp4, etc.). Additional fees will apply to purchase licences for stock imagery, video, music, any of our open/native design/video files that are created by JustOne or our partners, or other assets not owned by your company. JustOne will use all reasonable endeavours to minimise costs and will seek agreement ahead of incurring any material costs.

14.For our communication, reporting and creative services, if brand guidelines do not exist for the company, we can interpret guidelines from various outputs, however it will most likely result in further work. This will discussed with the client and time tracked against our day rates.

15.JustOne strives to align with our values in everything we do. In doing so, we respect and understand that both unforeseen business and personal circumstances can arise. Where appropriate we will strive to accommodate for these changes, and we respectfully ask that our clients do the same.

16.JustOne will seek written agreement from the Client before listing the organisation’s logo as one of their client changemakers on their website and using it for marketing materials.
